Logviva Terms of Use

These Terms of Use are entered into by and between you and RN Simplicity ("Company," "we," "our," or "us"). These Terms govern your access to and use of Logviva, including our website, web application, mobile applications, content, functionality, subscriptions, advertisements, payment features, food and nutrition databases, and related services that link to these Terms (collectively, the "Services").

By accessing, creating an account for, downloading, installing, purchasing, subscribing to, viewing advertisements in, or using the Services, or by clicking to accept these Terms when that option is made available, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. Eligibility

The Services are offered and available only to users who are 18 years of age or older, or the age of legal majority in the jurisdiction where they reside, whichever is higher. The Services are not directed to children or minors. Users located in Canada, the EU, or the EEA should not use the Services if they are below the age required to consent to these Terms and the processing described in the Privacy Policy.

2. Changes to These Terms

We may revise these Terms from time to time. Changes are effective when posted unless a later effective date is stated. Material changes will be handled as required by applicable US, Canadian, EU, EEA, or other applicable law. Your continued use of the Services after revised Terms become effective means you accept the revised Terms, except where applicable law requires affirmative consent.

3. Account Registration and Security

You may need an account to use some features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We may suspend or terminate access if we believe you violated these Terms, created risk for the Services or other users, or used the Services unlawfully.

4. Description of the Services

Logviva is a nutrition, food logging, meal planning, fitness, and wellness tracking product. The Services may allow you to create a profile, search foods, scan barcodes, log meals, save recipes, track goals, view estimates, and manage subscription or paid features. The Services may change over time, including by adding, modifying, suspending, or removing features, datasets, integrations, advertisements, or availability.

5. No Medical, Dietary, or Professional Advice

The Services provide general informational and tracking tools only. The Services are not medical advice, diagnosis, treatment, dietetic advice, professional nutrition advice, mental health advice, or emergency assistance. Nutrition targets, calorie estimates, macro estimates, food data, fitness metrics, advertisements, sponsored content, and generated summaries are estimates or third-party information and may not be appropriate for your health, medical condition, allergies, medications, pregnancy, eating disorder history, or dietary restrictions. Consult an appropriate professional before making health, diet, fitness, or medical decisions.

6. Food, Nutrition, Allergen, and Database Accuracy

Food and nutrition data may be incomplete, inaccurate, outdated, user-submitted, calculated, estimated, reformulated by manufacturers, or derived from third-party databases. You are responsible for independently verifying labels, ingredients, allergens, serving sizes, and suitability before consuming any food. European Union and Canadian users retain any mandatory rights they may have regarding misleading commercial practices, consumer guarantees, or non-waivable remedies under applicable law.

7. Third-Party Data Sources and API Terms

The Services may use free and open-source or public food and nutrition APIs, including Open Food Facts and USDA FoodData Central. Third-party data remains subject to its source terms, licenses, attribution requirements, rate limits, and availability. Open Food Facts data may be subject to the Open Database License (ODbL), attribution requirements, share-alike requirements, and API usage requirements. USDA FoodData Central data may be subject to USDA and data.gov API requirements, API key rules, citation expectations, and rate limits. You must not use the Services to scrape, harvest, bulk export, reverse engineer, bypass rate limits for, or create unauthorized derivative databases from third-party food data. If there is a conflict between these Terms and mandatory license requirements that apply to third-party data, the mandatory third-party license requirements control for that third-party data.

8. User Content and User Data

You may submit, upload, enter, or store food logs, recipes, meal notes, body metrics, goals, preferences, images, comments, feedback, or other content ("User Content"). You grant RN Simplicity a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, modify for formatting, and use your User Content solely to operate, provide, secure, support, analyze, and improve the Services, subject to the Privacy Policy and applicable law. You are responsible for your User Content and represent that you have the rights necessary to submit it. Do not submit information that you do not want processed as described in the Privacy Policy.

9. Acceptable Use

You agree not to misuse the Services. Prohibited conduct includes violating applicable US, Canadian, EU, EEA, local, or international law; interfering with infrastructure; attempting unauthorized access; scraping or bulk exporting data; using the Services to develop a competing food database, model, or product through unauthorized copying; submitting unlawful, infringing, misleading, harmful, malicious, or deceptive content; misrepresenting identity; bypassing access controls, usage limits, API limits, ad controls, payment controls, subscription entitlements, or security measures; or using the Services for regulated medical or emergency decisions without independent professional judgment.

10. Intellectual Property

The Services, including software, design, interfaces, text, graphics, features, workflows, databases we own, compilations, and other content, are owned by RN Simplicity, its licensors, or other providers and are protected by intellectual property and proprietary rights laws. Third-party data and open data remain subject to their respective ownership, attribution, licensing, and reuse terms. We do not claim ownership of third-party open food data merely by displaying it in the Services.

11. App Stores and Third-Party Platforms

If you download or use the mobile application through the Apple App Store, Google Play, or another app marketplace, that marketplace provider may have separate terms, payment rules, refund rules, privacy disclosures, subscription management tools, and platform requirements that apply to you. In-app purchases, subscriptions, trials, refunds, cancellations, and renewal management may be handled through the applicable app store or platform provider and may be subject to that provider's terms and policies.

12. Advertising, Sponsored Content, and Promotions

The Services may display contextual advertisements, personalized or targeted advertisements, sponsored listings, sponsored food or nutrition content, affiliate links, promotional offers, surveys, cross-promotions, and other advertising or commercial content (collectively, "Ads"). We expect to use Google advertising products, which may include Google Ads, Google AdMob, Google AdSense, Google Ad Manager, or related Google advertising and measurement tools, depending on platform and implementation. Ads may be selected based on context, app activity, device information, approximate location, advertising identifiers, cookies, SDK signals, or other information where permitted by law and your choices.

Ads are not endorsements, medical advice, nutrition advice, or guarantees of product quality, safety, accuracy, availability, pricing, or suitability. You are responsible for evaluating any product, service, claim, offer, coupon, ingredient, allergen statement, or promotional message before relying on it or making a purchase.

Where required by applicable law, we will identify sponsored or paid content and disclose material commercial relationships. You agree not to manipulate, conceal, misrepresent, automate, or fraudulently generate ad impressions, clicks, conversions, referrals, coupon uses, attribution events, or promotional redemptions.

For users in Canada, the EU, the EEA, the United Kingdom, Switzerland, and other jurisdictions with consent or opt-out requirements, Ads, personalized advertising, behavioral advertising, cookies, SDKs, advertising identifiers, and similar technologies will be provided subject to applicable notice, consent, opt-out, withdrawal, and preference-management requirements. If you decline or withdraw consent where required, the Services may still show generic or contextual Ads where permitted by law, but personalized or targeted Ads may be limited or disabled.

13. Paid Features, Subscriptions, Trials, and Payment Terms

The Services may offer paid features, subscriptions, free trials, promotional trials, one-time purchases, usage-based features, in-app purchases, premium functionality, or other paid services (collectively, "Paid Services"). Additional purchase, subscription, cancellation, refund, renewal, tax, and billing terms may apply at the point of purchase or through the applicable app store, payment processor, or platform.

Prices, billing periods, included features, renewal terms, trial terms, and cancellation methods will be disclosed at or before purchase where required by law. Unless stated otherwise at checkout, subscriptions may automatically renew until cancelled. You are responsible for cancelling before renewal if you do not want to continue the subscription.

Payments may be processed by Apple through the Apple App Store, Google through Google Play, Stripe for web or direct checkout transactions, and other platform providers or payment processors that we disclose at or before purchase. We do not receive or store full payment card numbers when payments are handled by these providers. We may receive and store limited payment-related records, such as product identifiers, transaction IDs, subscription status, renewal status, cancellation status, refund status, receipt metadata, entitlement information, billing country, tax information, fraud signals, and support communications.

Refunds, cancellations, chargebacks, billing disputes, failed payments, subscription pauses, grace periods, and entitlement access may be governed by the rules of the payment provider or app store used for the purchase. Apple App Store purchases are generally managed through your Apple account and Apple subscription settings. Google Play purchases are generally managed through your Google Play account and subscription settings. Stripe-processed web purchases may be managed through the checkout, billing portal, or support process we provide. Platform provider rules may limit our ability to issue refunds directly or modify subscriptions purchased through that provider.

We may suspend, downgrade, or terminate access to Paid Services if payment fails, a chargeback is submitted, fraud is suspected, a subscription expires, or the applicable payment provider reports that you are no longer entitled to the Paid Services. Any such action remains subject to mandatory consumer rights and applicable law.

14. Third-Party Services and Links

The Services may link to or integrate with third-party websites, APIs, authentication systems, infrastructure providers, analytics tools, advertising networks, payment processors, app stores, and other third-party services. As of this draft, expected third-party providers include Supabase for backend/database services, Vercel for hosting/deployment, Apple App Store, Google Play, Stripe, Google advertising products, Open Food Facts, and USDA FoodData Central. Third-party services are governed by their own terms and privacy practices, and we are not responsible for their services except to the extent required by applicable law.

15. Privacy and Data Protection

Our collection, use, disclosure, transfer, retention, and protection of personal data is described in our Privacy Policy. If you are located in Canada, the EU, or the EEA, additional regional privacy rights, consent requirements, cross-border transfer disclosures, and complaint rights may apply.

16. Geographic Availability and Export

RN Simplicity is based in [JURISDICTION]. The Services may be made available in the United States, Canada, the European Union, the European Economic Area, and other locations. We make no representation that all features, datasets, advertisements, Paid Services, or app store purchase options are available or appropriate in every jurisdiction. You may not use the Services in violation of applicable export control, sanctions, trade, consumer protection, advertising, payment, or tax laws.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that the Services, food data, nutrition estimates, advertisements, Paid Services, payment flows, third-party APIs, app store integrations, or third-party content will be accurate, reliable, uninterrupted, secure, error-free, or meet your needs. Nothing in these Terms excludes, restricts, or modifies any warranty, condition, consumer guarantee, legal remedy, or liability that cannot be excluded, restricted, or modified under applicable law, including laws of Canada, the EU, or the EEA.

18. Limitation of Liability

To the fullest extent permitted by applicable law, RN Simplicity and its affiliates, service providers, licensors, officers, directors, employees, agents, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, loss of data, loss of goodwill, service interruption, device damage, payment processing issues, ad-related claims, third-party API failure, or reliance on nutrition, food, advertising, or wellness information. To the fullest extent permitted by applicable law, RN Simplicity's total liability for claims arising from or related to the Services or these Terms will not exceed the greater of [AMOUNT] or the amount you paid to RN Simplicity for the applicable Paid Services giving rise to the claim during the [NUMBER] months before the event. The limitations above do not apply to liability that cannot be limited or excluded under applicable law, including liability for fraud, intentional misconduct, gross negligence, or non-waivable consumer rights.

19. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RN Simplicity and its affiliates, service providers, licensors, officers, directors, employees, agents, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from your violation of these Terms, misuse of the Services, violation of third-party rights, User Content, unauthorized use of third-party food data, payment fraud, advertising fraud, or violation of applicable law. This indemnity applies only to the extent permitted by applicable law and does not require consumers in Canada, the EU, or the EEA to waive non-waivable statutory protections.

20. Termination

You may stop using the Services at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate access if you violate these Terms, fail to pay amounts due, misuse advertisements or payment systems, create legal or security risk, or if continued operation is not commercially, legally, or technically feasible. Termination does not affect accrued payment obligations, rights, remedies, disclaimers, limitations, licenses needed for operation, or provisions intended to survive.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of [RELEVANT STATE/PROVINCE/COUNTRY], without regard to conflict-of-law rules, except where mandatory law in your jurisdiction requires otherwise. Users in Canada, the EU, or the EEA may have mandatory rights to bring claims or receive protections in their country, province, or member state of residence. 22. Waiver, Severability, and Entire Agreement

No waiver of any term is a further or continuing waiver. These Terms, the Privacy Policy, and any applicable subscription, purchase, app store, or additional product terms are the entire agreement between you and RN Simplicity regarding the Services.
